§ 1 Parties and Scope

These General Terms and Conditions ("GTC") govern all contracts between HAPO Energy GmbH, Siemensring 22, 73557 Mutlangen, Germany (the "Provider") and customers ("Customer") who purchase a wallbox-management subscription through hapowallbox.com.

Customer's own terms and conditions do not apply unless the Provider expressly agrees in writing.

§ 2 Services

The Provider makes available a cloud-based Software-as-a-Service (SaaS) platform for managing and monitoring EV charging stations (wallboxes), including:

• Real-time status display and remote control of connected wallboxes
• Energy data logging and charging history
• Firmware updates via OTA (Over-the-Air)
• Billing support for charging sessions

The current feature set is described on hapowallbox.com. The Provider may enhance the services; material changes will be communicated to the Customer in advance.

§ 3 Contract Formation

A contract is formed when the Customer submits an order and receives a confirmation e-mail. Acceptance of these GTC and the Privacy Policy is required before ordering. The GTC are available at any time at hapowallbox.com/legal/terms.

§ 4 Prices and Payment

Applicable prices are displayed on the order page and in the pricing table shown below these GTC (all prices are exclusive of applicable VAT unless stated otherwise).

The current pricing table is loaded dynamically and shown below these GTC.

Payment is made monthly in advance by credit card or SEPA direct debit via the payment service provider Stripe. The Provider reserves the right to adjust prices with at least 30 days' notice by e-mail. In such cases the Customer has the right to terminate the contract effective on the date of the price change.

§ 5 Term and Termination

The contract is concluded for an indefinite period and renews automatically month-to-month unless cancelled.

The Customer may cancel the subscription at any time effective at the end of the current billing period — either via the "Cancel here" button in the customer account or by e-mail to info@hapo.energy. After cancellation the account remains active until the end of the paid period.

Extraordinary termination for good cause remains unaffected. The Provider may terminate immediately, particularly in cases of payment default exceeding 14 days.

§ 6 Customer Obligations

The Customer agrees to keep login credentials confidential and to notify the Provider immediately if unauthorised access becomes known. The Customer is responsible for all activities under their account. Sharing credentials with third parties is prohibited unless a multi-user plan is subscribed.

§ 7 Availability and Support

The Provider targets 99 % monthly average availability (scheduled maintenance excluded). No guaranteed uptime is warranted. Support requests should be directed to info@hapo.energy.

§ 8 Limitation of Liability

The Provider's liability is unlimited for damages resulting from injury to life, body, or health, and for intent and gross negligence. For slight negligence, the Provider is liable only for breach of cardinal contractual obligations and only up to the foreseeable, typical contractual damage. All further liability is excluded.

§ 9 Data Protection

Personal data is processed in accordance with the Provider's Privacy Policy.

§ 10 Governing Law and Jurisdiction

These GTC are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For merchants and legal entities under public law, the place of jurisdiction is Mutlangen. For consumers, statutory jurisdiction rules apply.

Should any provision of these GTC be invalid, the remaining provisions remain in force.

Note: In the event of discrepancies between language versions, the German version is binding.
